Authorization Agreement

This Authorization Agreement ("Agreement") is made effective as of April 1, 2024 by and between:

Hedge, a Cayman company (hereinafter referred to as the "Company"), and

Anna ten Bensel, (hereinafter referred to as the "Founder").

Recitals:

A. The Founder is the individual who established and owns a majority interest in the Company.

B. The Company desires to authorize the Founder to act as the authorized signer on behalf of the Company.

Agreement:

1. Authorization: The Company hereby authorizes the Founder to act as its authorized signer for all purposes necessary or convenient in connection with the Company's operations, including but not limited to:

  • Signing contracts, agreements, and other legal documents on behalf of the Company.

  • Negotiating and entering into transactions and agreements on behalf of the Company.

  • Representing the Company in legal and business matters.

2. Scope of Authority: The Founder's authority as an authorized signer shall extend to all matters within the ordinary course of the Company's business, consistent with the Company's Articles of Association and applicable laws and regulations.

3. Limitations: The Founder shall not have the authority to act beyond the scope of the Company's business or to incur obligations or liabilities on behalf of the Company without the prior approval of the Company's board of directors or majority shareholders.

4. Binding Effect: Any actions taken by the Founder as the authorized signer pursuant to this Agreement shall be binding upon the Company to the same extent as if such actions had been taken by the Company itself.

5. Duration: This Agreement shall remain in effect until terminated by either party upon [Notice Period] written notice to the other party.

6. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Cayman Islands.

7. Entire Agreement: This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first above written.
